4. The Service and Recommendations
4.1 Purpose
Perfect Plate helps users decide where to eat based on food preferences and provides features such as restaurant discovery, reviews, ratings, and dining feedback.
4.2 No Guarantee
Recommendations are provided for informational purposes and may be incomplete, inaccurate, or not suitable for your needs.

5. User Content (Reviews, Ratings, Feedback, Photos)
5.1 Definition
“User Content” includes anything you submit through the Service—reviews, ratings, comments, photos, meal logs, messages, and other materials.
5.2 Responsibility
You are solely responsible for your User Content and represent that you have all rights needed to submit it.
5.3 Content Rules
You agree not to post User Content that:
- Is unlawful, defamatory, harassing, hateful, or threatening
- Is sexually explicit, exploits minors, or promotes violence
- Infringes intellectual property or privacy rights
- Is deceptive, fraudulent, or impersonates others
- Contains malware, spam, or attempts to disrupt the Service
- Includes personal data of others without permission (e.g., phone numbers, addresses)
5.4 Moderation and No Duty to Monitor
We may remove or restrict User Content at any time for any reason, including if we believe it violates these Terms or applicable law. However, Perfect Plate has no obligation to monitor, review, or moderate User Content, restaurants, menus, or third-party information. While we may, in our sole discretion, review, edit, or remove content, our failure to do so does not create any liability or obligation. You acknowledge that we are not responsible for the accuracy, completeness, or safety of any content, including restaurant information, menus, or user-generated reviews.
6. License You Grant to Perfect Plate
To operate the Service, you grant Perfect Plate a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting), display, distribute, and otherwise use your User Content in connection with operating, improving, and promoting the Service, including after account termination to the extent needed for legitimate business and legal purposes.
You can end this license by deleting your User Content, except where:
- it has been shared with others and they have not deleted it, or
- we must retain it for legal, security, fraud-prevention, or operational reasons.
7. Intellectual Property
7.1 Our Property
The Service, including software, branding, and design, is owned by Perfect Plate or its licensors and is protected by intellectual property laws.
7.2 Limited License
We grant you a limited, personal, non-commercial, non-transferable, revocable license to use the Service as permitted by these Terms.
7.3 Restrictions
You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract source code except to the extent permitted by law.
7.4 Copyright and DMCA Takedown Procedures
Perfect Plate respects intellectual property rights and expects users to do the same. If you believe that any content on the Service infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing:
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material
- Your contact information, including address, telephone number, and email address
- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner
- A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner

Counter-Notification: If you believe your content was removed in error, you may submit a counter-notification. We reserve the right to remove content that we believe infringes intellectual property rights, and to terminate accounts of repeat infringers.
8. Prohibited Conduct
You agree not to:
- Use the Service in violation of any law
- Interfere with the Service's normal operation
- Attempt unauthorized access to any systems or accounts
8.1 Prohibition on Data Scraping, Crawling, and Automated Data Collection
Specifically, you agree NOT to:
- Manual Scraping: Manually copy, download, or extract data, content, or information from the Service, including but not limited to restaurant listings, menus, reviews, ratings, user profiles, or any other data displayed on or accessible through the Service
- Automated Scraping: Use any automated tools, scripts, programs, or software to access, scrape, crawl, or harvest data from the Service, including but not limited to:
- Web scrapers, crawlers, or spiders
- Bots, robots, or automated agents
- Scripts or programs that simulate user interaction
- Data extraction tools or software
- Any tool that systematically accesses or downloads content
- User Agent Manipulation: Modify, spoof, or manipulate user agents, headers, or other HTTP request parameters to circumvent access controls or appear as a legitimate user
- API Abuse: Access or attempt to access any API, backend systems, or data endpoints not explicitly made available for public use, or exceed any rate limits or usage restrictions
- Rate Limit Circumvention: Use multiple accounts, IP addresses, proxies, VPNs, or other methods to circumvent rate limits, access controls, or usage restrictions
- Data Aggregation: Aggregate, compile, or combine data obtained from the Service with data from other sources for commercial or competitive purposes
- Resale or Redistribution: Sell, license, or redistribute any data, content, or information obtained from the Service
- Reverse Engineering: Reverse engineer, decompile, or disassemble any part of the Service to extract data or understand its structure
Exceptions: The only exception to this prohibition is if you have obtained our prior written consent for a specific, limited purpose. Any such consent must be in writing and may be revoked at any time. General browsing and personal use of the Service through a standard web browser or our official mobile application does not constitute scraping.
Enforcement: Violation of this prohibition constitutes a material breach of these Terms and may result in immediate termination of your account, legal action, and claims for damages. We reserve the right to use technical measures, including but not limited to IP blocking, rate limiting, CAPTCHA, and other anti-scraping technologies to detect and prevent unauthorized data collection. We may also pursue all available legal remedies, including injunctive relief and monetary damages.
Monitoring: We actively monitor for scraping, crawling, and automated data collection activities. Any suspicious activity, including but not limited to unusual access patterns, high-volume requests, or automated behavior, may result in immediate action without prior notice.
8.2 Other Prohibited Activities
You also agree not to:
- Circumvent security features, access controls, or rate limits
- Use bots to create accounts or manipulate reviews/ratings
9. Third-Party Services and Links
The Service may link to third-party sites or integrate third-party services (e.g., map providers, social login). We do not control and are not responsible for third-party services. Your use of third-party services is governed by their terms and privacy policies.
Third-Party Data Accuracy Disclaimer: Perfect Plate relies on third-party sources for menu, ingredient, allergen, and restaurant information and does not warrant the accuracy, completeness, or timeliness of such data. We are not responsible for errors, omissions, or inaccuracies originating from third-party providers, including but not limited to restaurant menus, nutritional information, allergen data, hours of operation, or availability.

11. Termination
11.1 By You
You may stop using the Service at any time and may request account deletion in-app or through kecharry@perfectplate.ai.
11.2 By Us
We may suspend or terminate your access if you violate these Terms, create risk, or if required by law.
11.3 Effect of Termination
Certain provisions will survive termination (e.g., intellectual property, disclaimers, limitation of liability, dispute resolution).
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERFECT PLATE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12.1 Assumption of Risk
You acknowledge that consuming food involves inherent risks, including but not limited to allergic reactions, foodborne illness, and other health-related risks. You voluntarily assume all risks associated with dining decisions made using the Service. Perfect Plate is not responsible for any adverse health effects, allergic reactions, or other consequences resulting from your use of restaurant recommendations or information provided through the Service.
12.2 Algorithmic Recommendations
Recommendations are generated using automated systems and algorithms based on user-provided and inferred data. We do not guarantee the fairness, completeness, accuracy, or suitability of algorithmic recommendations. Recommendations are provided for informational purposes only and should not be the sole basis for dining decisions.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERFECT PLATE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
IN ANY EVENT, PERFECT PLATE’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
- (A) $100, OR
- (B) THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless Perfect Plate and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including attorneys’ fees) arising out of or related to:
- (a) your use of the Service,
- (b) your User Content, or
- (c) your violation of these Terms or applicable law.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., within the app, on our website, or via email). Continued use after the effective date means you accept the updated Terms.
Change Log: We maintain a change log of material updates to these Terms. The "Last Updated" date at the top of these Terms indicates when the most recent material changes were made. We encourage you to review these Terms periodically to stay informed of any updates.
16. Governing Law
These Terms are governed by the laws of Texas, excluding conflict of law rules.
17. Dispute Resolution
Any dispute arising from these Terms will be brought exclusively in the state or federal courts located in Texas, and you consent to jurisdiction and venue there.
18. Miscellaneous
- Severability: If any provision is unenforceable, the rest remains in effect.
- Assignment: You may not assign these Terms; we may assign them as part of a merger or acquisition.
- Entire Agreement: These Terms and the Privacy Policy form the entire agreement regarding the Service.
- Force Majeure: Perfect Plate will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or government actions.
- Beta and Experimental Features: Certain features of the Service may be labeled as "beta," "experimental," or "preview." Such features are provided "as is" and may be incomplete, unstable, or subject to change or discontinuation without notice.
- Accessibility: While we strive to make the Service accessible, we do not guarantee compliance with the Americans with Disabilities Act (ADA) or other accessibility standards. We are not responsible for accessibility issues arising from third-party content or services.
